FSR IP Licensing Commitments
In connection with the transaction with XRG P.J.S.C. (formerly ADNOC International Limited), Covestro has made commitments to the European Commission under Regulation (EU) 2022/2560 on foreign subsidies distorting the internal market (the "Foreign Subsidies Regulation") (the "Commitments"). The provisional public version of the Commitments can be accessed here.
As part of the Commitments, Covestro has committed to grant licenses on market terms based on the Template Licensing Agreement to Covered Licensees for Relevant Patents upon receipt of Market-Standard Licensing Requests for Exploitation in the European Union.1
Relevant patents (Existing Covestro Sustainability Patents and Future Covestro Sustainability Patents) are EU Patents that:
- relate to technology developed by Covestro and/or an Affiliated Undertaking of Covestro which, according to Covestro's internal metrics, relates to the development, implementation, and upscaling of technological solutions and processes whose main field of application is Sustainability;
- are owned by Covestro or Affiliated Undertakings of Covestro and for which Covestro or an Affiliated Undertaking of Covestro is entitled to grant a license without third-party consent; and
- for patents not contained in Schedule C, including the Future Covestro Sustainability Patents, relate to technology which is new to Covestro and the Affiliated Undertakings of Covestro and leads to products new to Covestro and the Affiliated Undertakings of Covestro for existing markets.
Covestro Competitors and their controlled undertakings are excluded from eligibility to submit such licensing requests.
